Terms and Conditions

1. Introduction

PriatecSwap is a travel agency registered in Latvia, providing travel services including tours, accommodations, transportation, and other travel-related services in Latvia.

By booking any Service through PriatecSwap, you enter into a contractual relationship with PriatecSwap. These Terms, along with our Privacy Policy, constitute the entire agreement between you and PriatecSwap regarding your use of our Services.

2. Definitions

In these Terms, the following definitions apply:

• "Account" means the account created by a User to access and use the Services.
• "Content" means any text, graphics, images, music, software, audio, video, information, or other materials appearing on or through the Services.
• "Order" means a request to purchase Products through the Services.
• "Products" means the fruits, vegetables, and other items offered for sale through the Services.
• "Subscription" means a recurring Order for Products at specified intervals.
• "User" means an individual who accesses or uses the Services.
• "User Content" means any Content that a User posts, uploads, publishes, submits, or transmits to be made available through the Services.

3. Account Registration and Use

3.1 Account Creation

To use certain features of our Services, you may need to register for an Account. When you register, you agree to provide accurate, current, and complete information and to update this information to maintain its accuracy. You are responsible for safeguarding your password and for all activities that occur under your Account. You agree to notify us immediately if you suspect any unauthorized use of your Account.

3.2 Age Requirement

You must be at least 18 years old to create an Account and use our Services. By creating an Account, you represent and warrant that you are at least 18 years old.

3.3 One Account Per User

You may not create more than one Account without our express permission. We reserve the right to terminate any duplicate Accounts.

3.4 Account Termination

We reserve the right to suspend or terminate your Account at any time for any reason, including but not limited to violation of these Terms. You may also terminate your Account at any time by contacting our customer service.

4. Booking and Payment

4.1 Booking Process

When you make a booking through our Services, you acknowledge that:

• You have read and accepted these Terms and our Privacy Policy
• You are responsible for providing accurate information about all travelers included in your booking
• You have the authority to accept these Terms on behalf of all travelers in your booking
• You are at least 18 years of age or the legal age of majority in your jurisdiction

4.2 Booking Confirmation

A booking is not confirmed until you receive a written confirmation from PriatecSwap, usually via email. If you do not receive a confirmation within 24 hours of making a booking, please contact us.

4.3 Payment

The following payment terms apply to all bookings:

• For standard tours: 20% deposit at the time of booking, with the balance due 30 days before the start date
• For custom tours: 30% deposit at the time of booking, with the balance due 45 days before the start date
• For bookings made less than 30 days (standard tours) or 45 days (custom tours) before the start date, full payment is required at the time of booking
• All payments must be made in the currency specified in your booking confirmation

4.4 Prices and Taxes

All prices are quoted in Euros and include applicable taxes unless otherwise stated. Prices are subject to change until your booking is confirmed. After confirmation, prices will only change due to governmental action, such as changes in VAT or other applicable taxes.

5. Cancellations and Changes

5.1 Cancellation by You

If you need to cancel your booking, the following cancellation fees apply:

• More than 45 days before start date: 10% of total booking cost
• 30-45 days before start date: 25% of total booking cost
• 15-29 days before start date: 50% of total booking cost
• 7-14 days before start date: 75% of total booking cost
• Less than 7 days before start date: 100% of total booking cost (no refund)

All cancellations must be made in writing and sent to info@priatecswap.com.

5.2 Changes by You

If you wish to make changes to your booking (such as dates, accommodations, or services), please contact us as soon as possible. We will try to accommodate your request, but cannot guarantee changes will be possible. An administration fee of €30 may apply to any changes, in addition to any price differences resulting from the changes.

5.3 Cancellation or Changes by PriatecSwap

We reserve the right to cancel or make changes to any booking in the following circumstances:

• Force majeure events (as defined in Section 10)
• Insufficient participants for a group tour (in which case we will notify you at least 14 days in advance)
• Safety concerns or other circumstances beyond our reasonable control

In the event of cancellation by PriatecSwap, you may choose between:

• A full refund of all amounts paid
• An alternative service of equivalent or higher value at no additional cost
• An alternative service of lower value with a refund of the price difference

6. Travel Requirements and Responsibilities

6.1 Travel Documents

You are responsible for ensuring that you have the necessary travel documents, including valid passports, visas, and any required vaccinations or health certificates. PriatecSwap is not responsible for any issues arising from inadequate travel documentation.

6.2 Health and Fitness

You must inform us of any health conditions, disabilities, or special needs that may require accommodation during your trip. We will make reasonable efforts to accommodate special requirements, but cannot guarantee we will be able to do so in all cases.

Certain tours may require a minimum level of physical fitness. You are responsible for ensuring that you and your party members are physically capable of participating in the booked activities.

6.3 Travel Insurance

We strongly recommend that all travelers obtain comprehensive travel insurance covering trip cancellation, medical emergencies, personal accidents, and personal liability. PriatecSwap is not responsible for any costs that would be covered by adequate travel insurance.

6.4 Conduct

You agree to behave in a respectful and appropriate manner during your trip. PriatecSwap reserves the right to refuse service, terminate your trip, or remove you from a tour without refund if your behavior:

• Is disruptive, threatening, or abusive to other travelers or service providers
• Endangers yourself or others
• Causes damage to property
• Violates local laws or customs

You are responsible for any costs arising from such behavior, including compensation for damage or extra travel arrangements.

7. Liability and Warranties

7.1 Limitation of Liability

To the maximum extent permitted by law, PriatecSwap's liability for any claims arising from your use of our Services, whether in contract, tort (including negligence), or otherwise, shall be limited to the total amount you paid for the Services that are the subject of the claim.

PriatecSwap is not liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Lost profits, revenues, or business opportunities
• Loss of data or damage to devices
• Acts or omissions of third-party service providers (such as hotels, transportation providers, or activity operators)
• Personal injury, illness, or death not directly caused by the negligence of PriatecSwap
• Events beyond our reasonable control, including force majeure events

7.2 No Warranties

The Services are provided on an "as is" and "as available" basis. PriatecSwap makes no warranties, express or implied, regarding the Services, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

While we strive to provide accurate information about destinations, accommodations, and activities, we do not guarantee the accuracy, completeness, or reliability of any information provided through our Services.

7.3 Third-Party Services

PriatecSwap acts as an intermediary between you and third-party service providers (such as hotels, transportation companies, and activity operators). While we carefully select our partners, we are not responsible for their actions or omissions. Any claims related to third-party services should be directed to the service provider.

8. Intellectual Property

8.1 PriatecSwap Content

All content on the Site, including text, graphics, logos, images, audio, video, software, and other materials, is owned by or licensed to PriatecSwap and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, republish, upload, post, transmit, or distribute such content without our prior written consent.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. This license does not include:

• Modifying, distributing, or creating derivative works based on the Site or its content
• Using data mining, robots, or similar data gathering methods
• Downloading or copying account information for the benefit of another merchant
• Using the Site for any commercial purpose without our express written consent

8.3 User Content

If you submit content to us (such as reviews, photos, or feedback), you grant PriatecSwap a non-exclusive, royalty-free, perpetual, irrevocable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content worldwide in any media.

You represent and warrant that you own or have the necessary rights to submit such content and that it does not violate any third-party rights or applicable laws.

9. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect your personal information. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

10. Force Majeure

PriatecSwap shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to:

• Natural disasters (such as floods, earthquakes, or severe weather)
• Acts of war, terrorism, or threats of terrorist activity
• Epidemics, pandemics, or public health crises
• Civil unrest, riots, or strikes
• Government actions or restrictions
• Technical failures or interruptions in communications or transportation systems

In the event of a force majeure occurrence, we may cancel, modify, or postpone any booking. In such cases, we will work with you to find suitable alternatives or provide refunds as described in Section 5.3.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Latvia, without regard to its conflict of law provisions.

11.2 Dispute Resolution

If you have a complaint about our Services, please contact us first at info@priatecswap.com. We will make reasonable efforts to resolve your complaint amicably.

If we cannot resolve the dispute through direct discussions, any legal action arising from these Terms must be filed in the courts of Riga, Latvia, and you consent to the exclusive jurisdiction of such courts.

12. Changes to Terms

We may update these Terms from time to time to reflect changes in our practices, services, or legal requirements. We will notify you of any material changes by posting the new Terms on the Site and updating the "Last Updated" date at the top of this page.

Your continued use of the Services after such changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using our Services.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements explicitly referenced herein, constitute the entire agreement between you and PriatecSwap regarding your use of our Services, superseding any prior agreements.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision.

13.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. PriatecSwap may assign these Terms at any time without notice or consent.
